"Lapping" is the process of smoothing out the base of your heatsink to obtain better contact with your cpu. Here's an easy to follow guide.

Is it necessary? Depends. Take for example the AC Freezer 64 Pro. Mine gave me great temps right out of the box, and only yeilded a 1C difference at best after lapping. Others have had less than stellar performance with theirs at stock, but have gotten good results from lapping.

Just makes your base flatter and takes the pits and stuff uot for better contact. If your base is concave can see 2-6c difference in temps by lapping.
