theres a ton of overpriced stuff on there 512mb 184pim memory for 40$ I can get 2 gigs DDR2 6400 on newegg for 35

If it's going to cost you nothing, I think you should just get the Vendetta. You don't need a top five cooler to get an E6750 to 3.2GHz. To be honest, you could take that CPU to 3.2GHz on your stock cooler and still not break 60C under full load. I know because that's what I did for a long time with my E6420.

The Vendetta (if free) is a great choice and more than you need. If you want buy a bigger cooler later, you can. Since this one is free, you're getting a big improvement over the stock cooler for nothing.

exactly what I was thinking lol, but I've never OC'ed a C2D before went from P4>Pd>lappy C2D

and there was no way to get my 2.66 ghz pd to 3.6 on stock lol

It's stupid easy. C2D is just the most overclockable processor I've ever seen. At 3.2GHz, it's still going to be generating way less heat than a P4D, and 3.2GHz is only 400MHz FSB at an 8x multiplier. I think the best strategy for 3.2GHz is:

FSB : 400MHz
DDR2: 800MHz at tightest possible timings
Multiplier: 8x

This will give you a 1600MHz FSB with a 1:1 ratio for your RAM. If you can overvolt the RAM a bit and tighten the timings, you'll have very nice, cool, and solid performance. Nothing ground breaking, but you'll get WAY more value out of your machine without compromising it. A great beginner's overclock.

I dont need a monitor though, and I already have 2 GTS's on the way. I just had a few dollars and thought I'd spend it on a part to lessen the overall cost of the build.

Which by the way ordered the part sunday night and I just got it talk about fast!

And this thing looks perfect not too big (I dont have a case yet so idk how much room there will be) but yet it looks like it will be effective and I can swap out a LED fan or a larger/more cfm fan if need be. I just wish the gts's would get here as fast lol.

Oh and another thing does anyone know if lapping the bottom will be ok? cause it has the direct touch heatpipe thingy and I've never lapped one lol, just the base of hte heatsink, I think it should be alright as long as you dont take too much off right?

Meh, reviews found the 92mm version to be pretty bad cooling, the 120mm is way better.
Are you getting G92 or G80 GTS?
Anyways, I'd still recommend you get the Xigmatek S1283 on Newegg for ~37 shipped.
