I got a geminII for rather cheap and I was planning on buying a lapping kit and lapping both it and my e6320.
__________________my understanding about lapping is that my heatsink will be sitting on the sand paper and I move the heatsink around either in a circle or figure 8. what are some things that I can do to help prevent the heatsinks natural desire to tip? can should I just hold the base when lapping and apply some pressure?

Don't apply any pressure while lapping. I would also suggest going in a straight line rather then circles. A kit won't be necessary either, as long as you have a nearby automotive store where you can get the sandpaper.
While lapping, keep your hand on the base, and go back and forth. Allow the heatsink's weight to lap itself. Try not to tip or rock the heatsink while lapping.

well what i did was put wat and soap on the sandpaper but not alot just so that the heatsink can glide across the paper and clean it at the same time

At first i thought it wasn't worth it ,, but now my temps are dropping and from 45 on a 939 to 38c after lapping on my new am3. now the temp is idling around 33 or 34

I would advise not going in a circular motion or figure 8 as that may put more presure to one side or another giving it a rounded side. It is best to do the straight line motion and let the weight of the HSF do the lapping for you. Just take your time and don't rush it and it will take any pockets / or humps out of it.
