AMD Phenom II X3 720 because if it doesn't unlock you still at least would have 3 cores instead of the 2 on the X2 550.

G.Skill DDR3 1333MHz

Foxconn A7DA-S 3.0

Total cost would be just over $300 so you can also get yourself and good aftermarket CPU cooler

I think I might have to go with Dopamine's suggestion though. That combo with a 945 comes to........$359.97 shipped.

Similar combo, but the GD70 is probably the best AM3 motherboard, I would be getting it if I had the money to switch to DDR3. Its $40 more but you're getting a much better motherboard and a quad.
