I currently have 3 gb (3 sticks of Corsair XMS DDR400 1 gb) and was wondering if I switched to 2 x 1gb of some OCZ Platinum DDR400 would I see a performance hit? I can probally get higher OC with the OCZ and better timings but will be less as far as gbs.

on xp? not very likely
unless you run a lot of ram intensive programs, it is very hard to max out 2gb on xp

I'm using Vista ultimate 32bit and I can tell you going from 2 to 3 gb, there's a difference. In XP...I doubt you'll sell much difference at all.

There will be no performance decrease from going to 3x1GB to 2x1GB dual channel. You will probably get better performance with the overclock and dual channel.
