Default Best combo for 2 htpc's

So what i have is

2 AB9 Pro's
1 e8400
1 9600gt
2x2GB 1066 patriot viper
1x1GB pc6400 cheapo
2x500 watt psu's

now the Ab9 pros do not have sdif headers out for hdmi but that ok for the
main living room as i will use optical to reciever but the second needs hdmi sound

since i need a gpu what would be better a 4350 or a g210

and i was thinking of a e3200 for the other cpu if mobo likes no new bios since e8400

and my mix would be e8400,slower gpu
and e3200,9600gt

and the main htpc would also be a file server so more ram?

so do you thinks thanks

You could definitely put the E8400 and an HD4350 together. I'd just get a HD4350, its a great HTPC card perfect for BLu-ray etc. I think it has the onboard 7.1 audio that can go through HDMI. An E3200 will suffice for an HTPC and the 9600GT will help it with 1080p content. You probably do not need more than 4GB of RAM.
