Exclamation Help me upgrade with $275!

I'm trying to upgrade my cousin's computer:
Mobo: GA-M61PME-S2
CPU: X2 4000+ Brisbane
RAM: 1GB Corsair DDR2667
HD: WD 250GB
GPU: eVGA 7600GT

We're working with $275 not including shipping & taxes

Aparently, this mobo can't OC for the life of it. Which means upgrading to the 5000+ BE is pointless with this mobo.

My next thought, e2xxx + mobo combo and hsf.
or
New mobo, hsf, video card.

Does the 4000+ Brisbane OC well?

I'd go to Newegg and get the 5000 BE packaged with the 2x1GB Crucial Ballistix Tracers that are basically $9.99 after the $40 rebate. Then grab the ASUS 4850 that's $150 after rebate with this deal:

You'd be at $295 now but have $70 in rebates coming. I don't think you'll get a better gaming performance upgrade than that per dollar spent. Also even though it's not a great overclocking motherboard, chance are you can bump the multi on the 5000 BE a couple times for something of an overclock.

The RAM, Processor and Video Card are all also the basis of a great system when you can upgrade the motherboard in the future, perhaps when the $70 comes back.

Can't you just change multiplier with the CPU to overclock?

Multi maxed at 10.5. Windows or BIOS is not responsive to FSB changes...
