Depending what OC speed on your E8400, if E8400 is 3.8G+, I would keep what you have. Otherwise, for $50, go i7.

I don't see how you are going to get that much for selling your 775 board and DDR2 ram so I'd go for the Q9550. Assuming you game, the performance is the same and you'll save a fair bit. If you are going to do some media encoding and stuff go i7 - the performance is otherworldly.

Why not consider a Q9650 or for a bit more, get into a QX CPU?

You are looking at the CPU, new mobo & RAM to step into i7.. Save your money until i7 comes down in price a bit..... Just my opinion & what I'm doing

My e8400 is clocked at 3.8 ghz with 1.28 vcore (isnt oc friendly, 3,8 ghz is the wall)

What do you think?

For an extra $50? Definitely go for the i7. I wouldn't even think about it. The 920 can usually oc near 4ghz easily, you'll see a ridiculous performance increase.

Don't upgrade now you have a better computer than most people already.

Think of it this way, when you do decide to upgrade the later you wait the better computer you will end up with.
