Yes, 1.38 is safe for a 45nm cpu. You'll need to put about 1.45 through it before it starts to die.
Also, what frequency are you trying to get it stable at? 4Ghz?

He wants stable at 4GHz. The VcOre i think is pretty low for a 4 GHz clock. Asus boards have a derrible Vdrop so 1.38 is good. I'd be worried if it was like 1.52 Vcore, then you have a problem.

That V Core is not pretty low for a 4Ghz Clock. Its normal for a 45nm chip.

I've damaged an E8400 in under two weeks of use with 1.4 vcore, no additional vtt/pll voltage either.

Voltage tolerances are going to vary greatly from chip to chip. Also, Intel's absolute max ratings are not at all meant to imply what is safe for anything more than momentary exposure.

RMA it? Intel won't be able to tell it's been eating 1.4 . But anyway, on topic, 1.38 will be fine.

1. RMA'ing an overclocked CPU is unethical. Don't do it. We go into the dark underworld of overclocking knowing the inherent risks when we do it.

2. 1.365v is Intel's max safe voltage for 45nm processors, but if your temps are in good range, 65c to be safe, 70c absolute max, 1.38v will be okay for a while. The chip will degrade over time and you'll have to lower your overclock when this happens. 1.38v is pushing your luck. It may take a week or it may take a year, but the chip will degrade at that voltage for 24-7 usage. So you may have to ask yourself if this would be worth it to gain a hundred or so megahertz.

ive ran mine soooo much higher than "Intels MAX"

still no degradation either

but right now she's sitting at a calm 1.34Vcore
