Overheating...Bad CPU? Or mobo?

I'm working on some older Intel boards, DAG101 and D865G I think. A friend of mine has a P4 3.4ghz cpu he got off ebay. On both motherboards(different cases), it overheats. I cleaned the fans(trying 2 different fans) and the CPU surface pretty well. And I'm sure I"m mounting them correctly, using AS5. Both are the stupid pushpin ones. One Intel, one Cooler Master.
__________________What happens is, when I boot up, it boots up fine. I get into the BIOS and check temps, it rises quickly to about 115C and shuts down. If I try to restart the PC too soon, it gives 4 beeps or a "police siren" type beeping, and shuts down. When I put the old Celeron in both boards it works fine. No problems. Could it just be a bad CPU? The celeron is a 533mhz bus socket 775 CPU, and the P4 is a 800mhz bus CPU, which probably requires more power, would that matter? Any solutions/tips?

- check thermal paste, make sure you don't put to much..or you have enough
- definatley make sure that the heatsink is pressed snugg against the cpu --check to see if the push pins are clipped in correctly (meaning all the way) - any way you can take a few pictures zoomed into the cpu heatsink and mobo?

how hot does the celeron get?

Paste seems fine, I've done it 100 times before. The celeron works fine, and it gets about 50C last time i checked in the BIOS, compared to the 115C of the P4 before it shuts down.

check he contacts on the p4 for burn damage. When the p4 gets hot reach in and touch it and see if it is actually hot. The thermal sensor could be stuck and it just thinks it's super hot and shuts down. 115C would melt a cpu if i'm not mistaken and take the mobo with it.
