Default Looking to Upgrade

Hey guys (and girls), I currently have a E8400 and looking to upgrade the mobo + memory. Currently stuck at PC2-6400 so my CPU can't go any further than 400 atm
Budget is about 300 on the mobo (can be a little higher) and has to be compatible with PC2-9500 memory. I tried to look around for mobos but tbh I still don't know what to look for in a mobo other than the chipset, and compatibility.

Some options would be appreciated

don't get the maximus. its an ok board but the bios is very buggy and it cost too much for what it is. go with the gigabyte ud3p. its by far the best overclocking board for socket 775 and can easily do a 500+ fsb. also 4x1GB ram kits don't allow for as good of an oc as a 2x2GB kit.
