Default G.Skill DDRII PC2-6400 800Mhz - Mem Problem - HELP!!

I just setup my new system here is what I'm running to preface my question:

Intel Core 2 Duo E6600 (stock)
ASUS P5W DH Deluxe Motherboard
4 GB (1x4) G.Skill DDRII PC2-400 800Mhz
ASUS EN7950 Video
ZALMAN CPU Fan & VGA Fan

The first thing I noticed when I purchased my memory from newegg was that each package of G.Skill had indentical SKU's, information, packaging, etc.. but the heatsink on the RAM was different - the first box had the all black setup with the small strips of silver for the clips on top.. the second set had the black setup but had a different appearance of the clips, they were larger and stretched almost the length of the chip (these are different from the ones that are in the manufactures display picture). I assume the chips were the same based on the specs and the identical packaging.. so I figured they upgraded or ran out of the heatsinks - on to my question.

On boot I noticed that mem check only registered 3.2GB of Memory.. Windows control panel System dialog also confirmed 3.2GB. So now I'm thinking that one of my chips was DOA. I downloaded CPU-Z to begin to see how my new E6600 was running and I noticed right away that CPU-Z was showing the total 4GB's that I had installed.. however, it showed them as running at 400Mhz and not the 800Mhz that the chips are rated at (maybe this is common and I'm making a mistake here). So further inspection into CPU-Z's memory section gave me some awkward results - the chips in slot 1 and 2 say they have EPP enabled while the chips in slots 3 and 4 don't (3 and 4 have the different heatsink from the picture) also chips 3 and 4 have two colums in the Timing Table whereas slots 1 and 2 do not. Honestly.. I'm not very educated in the memory dept. so I am at a loss here - I want to overclock the system - but I am afraid to until I get this memory problem worked out. I printed a report from CPU-Z - can someone take a look and let me know what I'm doing wrong or what my problem is here.. any help would be greatly appreciated!!! Thanks!!!

To start:

3.2GB is normal - theres something or other which means Windows can't access all 4GB or something I believe.

400mhz is fine - the 800mhz is DDR2, so thats the total speed - 400mhz x 2 = 800mhz, see

Memory seems fine

EDIT: BTW, add your specs in the Control Panel

that is normal for windows XP if you have XP 64 or vista 64 then it should see it as 4GB memories

I do have x64.. and it still shows the 3.2GB??? Do you guys think that there is something wrong since all my slots don't read the same information even though they are the same exact model of chip? Why do slots 3 and 4 have two columns in the Timing table.. if anything I'd just like to know for personal knowledge. Thanks.

its not your Memory that is the problem. its the motherboard..... Mine wont even boot with 4 stick of ram on it! ASUS NEEDS TO UPDATE the DAM BIOS

****Memory Configurations for your board**** You may install 256MB, 512MB, 1GB, and 2GB unbuffered non-ECC DDR2 It does not support 128MB chips or double sided X16 memory modules. Always install DIMMs with the same CAS latency and it is recommended that you use the same vendor in all slots.

****Due to recource allowcations, the system may detect less than 8GB memory with four 2GB DDR2 modules installed. So that being said.. when running x64 I should see the total amount of RAM in this case 4GB.. rather than the 3.2GB I see now.. So why am I getting similar characteristics of a 32bit system. when I am actually running a 64bit?
