Overclocking is not terribly complicated. Raise the FSB, raise the voltage, watch temperatures, and hope for the best. If you want to try and edge to the v core down a tad you can try giving the CPU a little CPU PLL, and bumping down the FSB down 7 or 8 points, and see where that gets you. A clock speed of 3.15ghz might allow you to decrease your v core buy more then .05 volts. The same could work in reverse, you might be able to budge up the FSB a tad and still maintain stability.
You can raise the v core up to as much as 1.365 according to intel specs, and 1.4 is fine if your temps are good. Doing so might get you as high as 3.6ghz, maybe even more. I would say what you have is a fine balance between speed and temps.

TRIED THAT TEMPLATE...
It caused wild HIGHT cpu temps nearing 66C..seems dangerous. Could someone suggest a OV template that would be 3.2 - 3.5 GHZ without effecting heat??

The problem is that you don't have a very good CPU cooler when it comes to overclocking quad cores. If your CPU only reaches 66*C during testing, you don't have to worry. When you are playing games at these settings I'm sure that your system will only reach a tops of 60*C.

66C is high, but if it tops out at that it won't kill it. The freezer pro just doesn't fend off heat as well as better, bigger coolers. I would consider something like a scythic mutegen or a Xigamteck Dark Night if you want to see that chips potential.

yea man 66c is pretty high but if its on load that seems ok

I was not ever under the impression that the ARCTIC COOLING Freezer 7 Pro 92mm Cooler was inadequate for cooling the quad Q9400 cpu.

Ok, well then I will spell it out for you, it is inadequate. I personally know of several people with quad cores and that cooler, and it doesn't perform well with quads. It isn't enough to push that CPU to the limit.
