isn't stable on ATITool or OCCT that there's really something wrong with it?

It just means more than likely it will crash on a game that is pushing it to 100% for an extended period of time. Crysis for example will artifact or crash if it does it using ATITool.

I don't think anything is 100% guaranteed - but I'd say if ATITool causes your GPU to artifact or crash, so will a demanding 3D application.
__________________Of course there is the chance that ATITool has a specific bug with your driver, but that's a way way outside chance. People use it to test stability for a reason, it's a reliable indicator.

I think ATITool is buggy in Vista 64 bit. I could be wrong.

Not sure about Vista but he looks to have windows 7 64 which is what I used it on. It seemed to work just fine and do it's job quite well.

Try lowering clocks and see if that helps.

It was giving me problems on x64 Vista. Idk what was going on. Lower than stock clocks were showing up errors/artifacts and eventually BSOD'ed. 3 months later I can fold with my OC (seen in sig rig) and play any game on those settings.

Could be PSU. Mine was doing the same, before I realised my PSU could only supply a max 400W continuous.

If the PSU was a problem it would cause crashes. It wouldn't just be the GPU that failed, I would have thought.
__________________Heat can always cause instability. Try upping the fan speed to 100% and see how that goes. GPU, memory and VDDCs can all over-heat. Best way to find out is play games intensely for a couple of days and see if you get any crashes/instability.

Not in my case. I got lots of artifacting but no crashes or instability whatsoever.
Just googled your PSU and saw that it has 2 12V rails, the first has 14A and the second pushes 15A, which I know, is NOT enough for your 8800GT. Yours needs at a MINIMUM of 22A on one rail. PSU's aren't all about how many Watts they can put out, they're also about how strong a current they make. Next time go for a well known brand name PSU like CoolerMaster, Vantec and the like. They're gonna be more expensive, but they're much more reliable and are of much better quality.
