Just the manufacturer. Brand loyalty aside, the only difference between these two are price and the board manufacturer, as each gives different warranties and such. I know XFX is popular because of their double lifetime warranty, while EVGA has a card step-up program.

Then there's the more obvious reason of sticker choice/aesthetic design, which you can see between these two cards. Finally, although it's not the case with these two cards, sometimes board manufacturers put on different aftermarket coolers that cool better/take up less space than the typical card.

To be honest, I get whichever is cheapest. I'm running an EVGA card because at the time, it was the cheapest GTX 260 on the marketplace; same with my old XFX 9800 GTX+ and MSI 8800 GTS.

The XFX one is non reference, probably doesn't cool as well, but it comes with cod4.

Looks the same to me, just different brands. So the heatsink and fans are different, but that's about it.

basically just the make of cards, the cooling and decorations are different also.

it just depends of personal preference of brands, does not make much difference really

Quite simply, the Evga model is a GTX 260 Core 216 while the XFX model is the standard GTX 260 model.

The Core 216 model has 216 shader processors and the standard model has only 192 shader processors. The core 216 also uses the newer 55nm process. The core 216 offers a bit more performance. I would buy the GTX 260 Core 216 considering it is only a couple of dollars more expensive and offers better performance.
