The XFX one is non reference, probably doesn't cool as well, but it comes with cod4.

Looks the same to me, just different brands. So the heatsink and fans are different, but that's about it.

basically just the make of cards, the cooling and decorations are different also.
it just depends of personal preference of brands, does not make much difference really

Quite simply, the Evga model is a GTX 260 Core 216 while the XFX model is the standard GTX 260 model.
The Core 216 model has 216 shader processors and the standard model has only 192 shader processors. The core 216 also uses the newer 55nm process. The core 216 offers a bit more performance. I would buy the GTX 260 Core 216 considering it is only a couple of dollars more expensive and offers better performance.
