Yes your rig would compliment Vista 64 nicely. I have used Vista for months now and I love it.

64-bit is a worthwhile upgrade. Its not significantly quicker IMO, but it is the direction things are moving. Compatibility issues are low now and I hav'nt had a single issue.
Be warned, if you want a TV card Vista support in general for them is flaky, so make sure you get one that explicitly says it supports vista, as most of the old ones do not. I say go for it.
