Perhaps this will help you decide, your rig is more than good enough for Vista; I would just suggest looking at a few comparisons to reach the conclusion if Vista is right for you.

64-bit is a worthwhile upgrade. Its not significantly quicker IMO, but it is the direction things are moving. Compatibility issues are low now and I hav'nt had a single issue.
Be warned, if you want a TV card Vista support in general for them is flaky, so make sure you get one that explicitly says it supports vista, as most of the old ones do not.
I say go for it.
