Yeah it should be fine like that. For an internet gateway use a VM with Untangle or Endian, they give you full router features. Just make sure that the VM has two NICs dedicated to it (for security).

My Pentium D 3.0 GHz 930 DOES support VT, in fact that is why my Terminal Server was fast when it was in a VMware.

Anyways, the server only has a gigabyte desktop motherboard and when I put in the 4 GB of PC 6400, its only giving me 3.24 GB of usable memory, even in a 64 bit operating system.

Do you think I should Install Windows Server 2003 x86 and make that the Domain Controller, then install VMware and make a VM with 1.50 GB of Memory and make that the exchange server?

Should I make the exchange server have one process or two processors?

Should I use Windows Server 2003 or Windows Server 2008 with Exchange Server 2008?

VMWare doesn't recommend installation on a domain controller.

With the resources you have now at your disposal, you should stick with Windows Server 2003 all the way through. I would probably suggest you also avoid Exchange 2007 / 2010 and stick with Exchange 2003. And assign a single vCPU to each of your virtual machines. You just don't have enough horsepower to do all that much.
