I want one server for DC, Another for Exchange and the 3rd one for Terminal Services.
Right now, I am testing, I strongly believe that the Exchange Server should be in a VMware on top of the DC and I might deploy it that way, the fact that I have added extra 2 GB of RAM in it and the Processor supports VT.

Unless you are running some sort of enterprise network the caveats to running exchange on top of your DC are minimal at best. If its your home DC/exchange box, ignore any advice against doing this. There are no technical conflicts doing it that way.
For instance, one of the reasons you wouldnt want to run exchange on a DC is hang ups during restarts. I could go into why it happens but Im not. Besides it can be worked around.
So... Just run exchange on your DC its really not going to hurt anything.
