Default Microsoft abandons Yahoo bid, rebuffing higher sale price

The talks reached a breaking point after Jerry Yang and David Filo, the co-founders of Sunnyvale-based Yahoo, flew to Seattle in the morning to meet personally with Microsoft Chief Executive Steve Ballmer and Kevin Johnson, who runs the software maker's unprofitable online services division, according to someone familiar with the talks. The person was not authorized to speak publicly and asked not to be identified.

"Clearly a deal is not to be," Ballmer wrote to Yang in a letter sent late Saturday.

Microsoft was willing to pay $47.5 billion, or $33 per share, up from the bid's current value of $29.40 per share, according to Ballmer's letter.

But Yahoo's board demanded at least $53 billion, or $37 per share, according to Ballmer. That would have been nearly double Yahoo's stock price of $19.18 at the time Microsoft first made its bid a little over three months ago.

My prediction about the next iteration of Windows:

Microsoft announces that anything Yahoo will not be included in the next Windows. In fact, Yahoo will not be able to be accessed through IE!

I don't know what Yahoo is thinking on this. Their stock price is down 15% today after Microsoft abandoned its bid. Microsoft was offering $33 per share, the actual stock price now is about $24 per share. The Yahoo shareholders really got the short end on this deal.

...and that's exactly what MS wants. If no one makes a further bid on Yahoo and their shares further drop... the stockholders are going to be PISSED and try to replace the board. Then MS can jump back in and offer less.

It's hard to believe Yahoo didn't see this coming...

They wouldn't accept the bid because they thought their company was worth more, but their stock was artificially inflated by news of the M$ buyout. This move by M$ is common sense, but did Yahoo truly not realize this would happen?

I believe it was more due to the Board's personal feelings towards MS. If so, the shareholders might press for misfeasance or malfeasance (not sure which would apply).
