I'm a bit confused and need help picking my audio card.
I need it to have 3.5mm output for 5.1 sound. Quality is what I want. Games have priority but movies/music would get used too. I have been looking for the following in a card based on assumptions and minor knowledge... EAX 5.0, 24-bit audio, 192KHz sample rate, under $325 (But I prefer to stay around $200-$250). That's what I have been looking for but I don't understand much about them after the specs I listed. I was thinking about this one but wanted to hear some opinions about it and maybe an alternative. I will have to update the Firmware and stuff to get the full benefit but that's not a problem to me.

Unless you are actually using the card for HTPC, go for the X-Fi Prelude instead.
Oh, and I wouldn't worry about cards supporting 192KHz or not - it's not really a measurement of quality.

New question then. If I got a sound card right now would it make my USB headset sound better? That's probably dumb sounding but I don't really know much about sound on a PC. I currently have just on-board sound. (GIGABYTE GA-P55-UD4P)

No, it would not affect your USB headset at all. USB headsets are kind of like external sound cards in themselves.
Now that you're getting a badass sound card you should invest in some good headphones! For gaming the Audio Technica AD700 is pretty much the best. Oh crap, I said X-Fi Prelude but I meant Forte. Get the Forte! Although both are great cards.
