While the original phenom would in fact perform worse, I still do not think you should upgrade to the athlon II. Especially when AMD's new chips will be released so soon. Once AMD's new chips are out, go for one of those or PhenomII.

Phenoms overclock just as well as Athlons, from my experience/what I've seen (this is Phenom II/Athlon II, not first gen).

However, seeing as an Athlon II isn't a huge upgrade, and BD is right around the corner, my suggestion would be to wait for Bulldozer to come out (most current-gen processors will drop in price), and then:

A) Upgrade to Bulldozer
B) Pick up at least a Phenom II x4 ~3.0GHz
C) Look around these/other computer enthusiast forums for an Intel platform. Depending on your budget/what deals you find, go for an i5 platform (2500k or 760) or a Core 2 Quad seeing as you already have DDR2 RAM (go for a Q9x50 if you can find one, otherwise a Q9x00 or even a G0 stepping Q6600 if you stumble across a really good deal, but a Q9 or Q8 series would generally be better).

A 640 from a 9950 will not be much of an upgrade. I think both have the same level 3 cache anyhow.

The Athlon II series doesn't have any L3 Cache, that's the main difference between them and Phenoms.

Doubtful. 3.5 and 3.6 if you're lucky. I used to have one that did 2.7 but couldn't do it after a few months..

Most Athlons and lower binned Phenoms seem to hit a wall around 3.5-3.6

My Athlon 440 and Phenom 720 both hit a wall at 3.55 and 3.5 respectively.
