Just upgrade the video card and memory, if you really wanted get an i5 760, no need to redo the entire system, especially if selling it will be a hassle. The rig will be capable of gaming for a while.

I agree with this. Even without the upgrades, the new system is likely spanking the laptop on which you used to play. If you do eventually decide to make the jump to SandyBridge or a more serious 1156, the RAM and GPU will be on your shopping list anyway, so you won't really be wasting anything by incrementally upgrading.

If i put myself in your position i would have got these upgrades:

CPU - i7-870 or if you want to save some cash i5-760

Needed
GPU - Radeon 6950 (flash to 6970 BIOS)
Ram - 4Gb Corsair Vengeance 1600Mhz

That's an awesome system and it saves you the hassle of changing platform. Even i'd be happy with that system

Would all that fit under my budget of $400?

The ram and GPU would!

$250 for a 6950
$60-100 for a decent kit of 4Gb ram

It's been ages since i've purchased a Radeon card, but i'd just get the cheapest. Most are reference design anyway. Look up a few reviews on google and find a good one.
