All of this adds up to be $363 after rebates.

It's a good start. Be warned, though, you'll just be hungry for more. PC building is like heroin to the body.

You know the 840 is $8 more then the 550 Black from Microcenter
it may not be a black but it is an x4
Also unless you are doing a decent amount gaming the 5570 might be a little much for a HTPC.
As AVS would suggest a passive cooled LOW wattage card like a 5450, it can more then handle lite games and 1080p content. Also passive means NO added noise from a fan
(also only costs 39.99 fpr a 1gb and 19.99 for a 512mb card)

But I guess it is a decent build(What do I know)

I've actually decided to go with the phenom II X4 955, i figure spending $20 more for a quad core cpu is better for the system's longevity.
