Will you advise me to do the mobo switch?

You can see my current mobo in my specs. Well it is a mATX board and I have been regretting going mATX.

I have the opportunity to upgrade to the above board for $40. The problems with my current board are,

1. 2 Ram slots so I cant upgrade to 8GB if it becomes really beneficial in the upcoming games.

2. My sound card is so close to my GPU it effects it's temps by a couple of degrees.

3. I cannot buy a triple slot card

And lastly my mobo only lets me overclock to 3Ghz and I am sure the MSI one will letme do it to atleast 3.2Ghz or somethin.

So what say? I'll be getting a 6950 as well and then wont have money for anymore upgrades for quite some time.

I really dont have money to go all out on a sandy bridge build, I will be sticking with LGA775 for quite some time and want to maximise it's life.

Personally, I wouldn't call that an upgrade.
Look for a P45 board rather than a P43 board.

P45 is very expensive. Going from mATX to full ATX is my biggest reason, higher CPU OC will just be a bonus.

Btw for how long do you think 4GB RAM will be adequate for gaming?
