Numerous computer problems

Hello everyone. I'm really crossed because there are numerous problems with my computer and i want to know what's causing them.
1. I cannot overclock my CPU if i have all my ram sticks onboard, even if i lower the multiplier and re-overclock them to their stock frequency.
2. I have a massive bottleneck from my cpu on my gpu. When i play F1 2010 my gpu works @ 35-45%. Is my CPU that bad at stock clocks?
3. Sometimes when i power on the computer it does not post and i have to clear the cmos and the funny (?) thing is that when that happens the bios settings are the default.
4. I have succesfully unlocked my GPU but i cannot overclock it at all. Even with 920mhz core with 1.2v it is not stable.
5. Right now, i cannot boot into windows. It stops just before the starting Windows screen and does nothing. I have too clear the cmos again just to get that again.
And the even funnier thing is that when i try to RMA the motherboard, i get it to the store and works fine.
Why do I have those problems? What is the true problem?

Did you have the same issues before you unlocked your video card (even though i doubt that could be the cause)?
When you get a chance, you should run memtest+. The ram could really be the issue here since you say you can't get an overclock with all of the ram chips.

Foxconn motherboard, yuck.
