this post is really old now.... i should had said what happened anyway....
the problem was the RAM i figured out after i returned the motherboard and got a new one, the new one had the same problem.
bought my self a 2x2gb corsair kit.

Ah okay. Well if you decide to change RAM again I would like to suggest G.Skill RAM

This is my current RAM and it works very well. It is running at 1600MHz, but I have tightened the timings fairly easily. $60 on Newegg and they are currently throwing in a free micro SD card + free adapter to go with it lol.
