Its time to upgrade. I need help.

Hello there, My pc is getting old. as you can see my specs below. I upgraded my GPU but my pc is not keeping up with it even i oc my cpu to 3GHz. I have $400 right now for a new mobo and cpu. I heard that sandy bridge make oc easy. Which mobo and cpu should I buy?

I just finished building my new rig the other day, and I used the Asus P8P67 Pro and the i5 2500k. Although I don't have much experience using it myself, loads of people recommend the i5 2500k, and with a decent cooler (Coolermaster Hyper212+) you can get stable overclocks of around 4.2-4.5GHz fairly easily.

cpu- i5 2500k
mobo- asus p8z68v pro/p8z68v
or
asus p8p67 pro rev3.1 or
gigabyte z68x ud4/ud3h/ud3p
