There is no debate. but there is somewhat of a price difference in the chip and motherboard, I could afford to RAID 2 Corsair Froce 3 120GB's for the ammount i save. Theoreticaly isn't that 1GB/s throughput

I came from a Phenom II x4 @ 3.85GHz. The i5 2500k at bone stock (3.3GHz) eats the Phenom II alive in every game I play (minimum frames make a huge difference).

You can use your GTX280 you already have for now. But I would certainly recommend a GPU upgrade. Fully depends on your budget and resolution. Get the CPU, board, and RAM first though....get the main stuff taken care of first. That GTX280 is still a solid enough GPU, when paired with a 2500k.

My GT240 with my 2500k was beating my GTX470 with my Phenom II.

EDIT:
Yes, you NEED the "K" model to overclock properly. The lower end chips can overclock, but not very far at all. The i5 2500k is the chip you want (or i7 2600k).

Im doing a full upgrade. I found some sweet RAM 1600Mhz 9,9,9,24 @1.25
and then ill get a 560Ti or a 2GB 9650

See if you can find either faster RAM, or tighter timing RAM for around the same price. You'll want 1.50v RAM as well (1.25v is fine though). Just the GSkill Ripjaw X line is fine, especially if you can find tighter timings than 9-9-9 for 1600. You can put up to 1.65v safely through the RAM, so that's not an issue, and you'll have room for overclocking the RAM too.

GPU wise, either of those you chose are fine. You could also look into a GTX570, GTX480, or a GTX470 as well. They'll all perform quite similar, although I've had better luck personally with Nvidia cards as of lately. Others love their AMD cards though, so neither is really a bad option.
