Windows not booting up!! Bluescreens nd errors..HELP!

Bought my new AMD pc just 2 weeks ago and last night it suddenly gave constant bluescreens restarted several times for some reasons sometimes it booted into windows used for 1-2 hrs and again blue screen..tried to recover but no luck even it gave blue screens in safe mode!!
Having no windows 7 CD on hand installed windowsXP booted up normally installed the motherboard driver and in middle of installing again bluescreen!!
This time it showed windows system32 file corrupted try to repair!!!
reinstalled windows xp and again same bluescreen and error message but in middle of these it sometimes booted in windows..

And at last when i restarted pc gave 4 beeps powered the pc off.. Switched it back on and gave overclocking failed! I didn't even OCed it!!

Removed the CMOS battery kept it out for 10 mins but no luck
What the hell is wrong?

System specs: phenom 2 x6
Msi 990fxa-gd80
Corsair 2gb xms3 ram(frm one old system)
Thermaltake 400w psu(frm old system)

Run MEMtest to see if the RAM is bad.
I would also, if you can. Take out the HDD and test it in another computer.
You could also make a Windows 7 bootable USB key since you don't have a CD on hand. A bit of Googling could help you with that.
