CPU keeps downclocking (all power saving options disabled)

So I just upgraded a little over a month ago to an I5 2500k. I turned off all power saving options so there is no turbo or throttle down on. I bought COOLER MASTER Hyper N 520 to cool the CPU. Anyways I may have messed up the seating of the cooler, but still it doesn't explain this. So at first I overclock to 3.8. It was hitting about 70-72 when stress testing. I know it's a little high but fine.

I then just messed around on the computer for a little while and I checked my cpu and it went down to 3.4. I thought this was quite odd. I restart my computer and it's fine... Well for a little while then it downclocks again. I set my OC to 3.6 and then getting full load temps under 70. It still downclocks to 3.4 after a little while.

Just to clarify though computer doesn't lock up for freeze it just downclocks it self. When I restart the OC is fine for a while (not sure on exact times). I turned off all power saving features so I don't know what is causing this.

Any ideas or suggestions?

Why not keep Speedstep, Turbo enabled? Sandybridge was designed to be overclocked with them enabled.

thats it, i am almost 100% sure its the motherboard. its soo sad... gigabyte had great boards for the last generation cpu's , but what the F now. go through the threads, all threads with a title like - cant boot; cant post; cant go past (insert pathetic overclock here); downclocks even with all savings disabled; wont listen to me! .. go to them, and surprise surprise, most of them are using gigabyte mobos. selling mine right away and getting a asus mb.

That's just turbo mode kicking in - but I do see where you say you disabled it? If you want 1 speed all the time, in your bios you have to turn off turbo + C1, C3/C6 and possibly some other stuff.

You could manually set your turbo to the same speed as the regular multi?
