Go with the MSI. Higher core clock, awesome cooler which will let you push it even further. Plus it's the cheapest 460 after rebate.

Direct CU all the way.

They're both good. They can both probably overclock equally well. The ASUS has a heatsink over the VRM's, but the GTX 460's don't really need it as long as there's adequate air flowing to it. The MSI has better overall cooling.

I only agree if you dont OC and/or OV.

VRMs get very hot on GTX460 ( and better GTX4xx&5xx ). The lifespan of a card with VRM cooling could be better even withou OCing. ++ in SLI when heat become an issue with 2 cards.

Im Running the Asus DCUs in SLI only difference is i have the 768mb models.

Gaming max temp in crysis(1) is 80c with an Overclock of 925 core and 2100 memory.
