I own both of those cards and I much prefer the asus Because of the VRM cooling and a quieter fan.

VRMs get very hot on GTX460 ( and better GTX4xx&5xx ). The lifespan of a card with VRM cooling could be better even withou OCing. ++ in SLI when heat become an issue with 2 cards.
I've had MSI Cyclone GTX 460 1GB's I've overclocked to 960MHz Core Clock in SLI with 1212mV's (BIOS flashed) with just an 80mm fan to blow air into the VRM's (no heatsink), and they've been fine for over 2 years (GPU's are watercooled).

Your playing with fire, and im not kidding. VRMs get hotter then the GPU on the GTX460. With tock cooling, if your GPU is 70c, your VRMs are 80c+. I had SLI GTX460 (asus) with a 92mm fan blowing to the VRMs heatsink on the cards and these heatsink were VERY hot. I mean VERY.

GTX460 under load, See yourself.

My hawks don't go above 75c @ sig clocks. I did take the coolers off because of a crap TIM job and added copper heat sinks to my VRM's.

I would recommend the hawk, probably one of the top 460s you can buy.

I owned the Asus 460 (768Mb but same Direct CU cooler) and it was an awesome card. I haven't owned the MSI version but I was very happy with the Asus. It was extremely quiet and cool even OCd to 850 core clock @ stock volts. Never got over around 58-60C.

I'd just buy whichever one's cheaper. I used to always go with the "higher quality" cards like EVGA but I was able to snag my Palit 460's for a great price so I took a risk. These cards don't hit above 72*C in SLI at the stock settings while playing BC2, BF3, and Metro2033. The only thing I've done thus far is to plug my monitors into the bottom card and to create a custom fan profile using Afterburner. I've got the regular Palit edition so there's no VRM cooling but I ordered some heatsinks from DealExtreme for an extremely cheap price. I also plan on putting a fan attached to the end of the GPU's so that it's blowing in between them which should take another few *C off.

Also, we all talk about the "lifespan" of the cards but in the end when was the last time you actually held onto a card until it died?

Go with the mSi since its has a better cooler and its cheaper with MAil -rebate

I think you can choose gigabyte for his two inclined fans and more quiet than MSI
