I use Xilisoft Video Converter Ultimate. It does what you want + GPU acceleration.. it, however, is not free.

I use Xilisoft HD video convert, it uses the CUDA cores in my card too make the converter really fast! It can even use ATI stream technology to make the convert faster

Handbrake is pretty awesome as far as video converting.

Before I started using handbrake, I used the software from dvdvideosoft.com. Its free and quite good. I used it for my PSP and Ipod Touch when I first got it.

i think i'll stick to handbrake thanks. i got it running at 900-1000fps. which is pretty awesome.

turned the settings to realtime and its eating up my CPU usage. not quite 100% but it lags.
