Upgrading sig rig?

As you can see my gaming rig is old. I have only a little bit money so i don't know what to upgrade.

I was planning to upgrade my GPU to gtx 560 (or 560ti) and new PSU (xfx 550w core or similar)

or

Would motherboard + 2500k + 2x2gb ddr3 be better choice?

How big difference there is in games if i overclock my current (@3.0 stock) CPU to 3.6 or 3.8ghz or can i see any fps increase at all because 8800gts 320mb is holding me back? i'm using 1920x1080 resolution.

What's your budget? That's some pretty old rig, if I were you I'd get something similar to:

I doubt you'd see any FPS increase if you OC your CPU, better to start fresh.

E8400 is still good for you if you are a mainstream gamer.
I would recommend xfx hd6950 1gb($209 at newegg) & that xfx psu.
h6950 will be a better choice over gtx560ti.
