If that p35 board can handle the power draw of an overclocked Q6600 and get 400+ FSB stable, the Q6600 would be my choice.
Both of mine did 3.6GHz pretty easily.

The AMD system is more of an upgradable system. So I would keep that

I would go with the Q6600. I think the q6600 would be a better option. I do know that the quad cores can get hot so if you get better preformance with stock AMD speeds than OC Q6600 then go with AMD.

the cpus are pretty much a tie . . .

http://www.anandtech.com/bench/Product/188?vs=53

but with the am3+ and ddr3 make the difference.

Like others have said, the AM3 solution is pretty much the same performance wise as the Q6600 setup, but the benefits of the AMD system are you have DDR3 and socket AM3, both of which are easily upgradeable. To me, it's a no brainer, AM3 all the way. I don't see how anyone would say otherwise, it's just logical.

Socket 775 is dead, no matter what the hardware nabs say on here.

Q6600 overclocked is by far the better system even though it has ddr2 ram I would hold on to the intel and drop the x3 450.

Sorry but "far" better is an extreme stretch. You can OC the AMD chip too. Socket AM3 is a better platform, period. For a mere 100$ you could plop a chip in there that stomps the Q6600 into oblivion.
