Is the extra cost of replacing the motherboard and RAM of option 2 (plus the ~$80 price difference) worth it?

It ought to be, the 2500k is much better than the Phenom, and the 570 is much better than the 560ti

you could get a pretty decent motherboard for ~140$ and some better ram for like 50$

Have you checked to see how much it would cost you to buy the same parts and put it together yourself?

This. I'll bet with what you're spending on either machine, I'll bet you could put your own build together with a good board, good RAM with the i5 / GTX570. You're probably paying more than the machine is worth, just because you're having someone else do it for you.
