He's planning to upgrade the ram to 8GB and graphics to something better.
Anyone recommendations? His budget is $300 but I told him he wouldn't need to spend that much.

Upgrade the graphics to a HD 56xx or 57xx and you could add another 4GB of ram which then would give you 8GB's ... but do you really need 8GB's? The CPU seems okay, i'd also invest in a SSD if you can get your hands on one, the OCZ Agililty 3 is going cheap at around £80, im not sure how much that is in dollars though..
Also, baring in mind your limited by the PSU.. do you know the wattage of that PSU?

you'll probably have to upgrade the power supply.

Here's an article about it.Not the whole 5 to 6 series difference but more specifically the 5750/70 to 6750/70 if your considering getting those.
http://www.rage3d.com/articles/amd_radeon_hd6770-6750_rebranding/

Basically in terms of gaming performance, not a whole lot of difference.

Really what has been said is damn good advice. I would look at the 6xxxx series souly because its newer and update the power supply when a decent comes on sale.
