How many sticks of ram do you have in the PC for this? if you have multiple just try like one at a time. You only need like 65MB to run XP I believe.

I have two sticks, I will try to do one stick today. Let's hope every thing goes well.......

Alright I got some good news and bad news....
The good news is...I got it working, I reformated the harddrive using the 32bit XP that I have and it work out. No freeze what so ever.

The bad news, I did it on my 20GB HDD, But I will keep that for now until I slap the 120GB HDD into my rig. But for right now it should be good to play at least 3 MMO games but I won't be using it for storage so I'm good. And it seems XP Pro supports 4GB of RAM so I will be putting the stick of RAM that I left out when I was installing the thing.
