It's like 4% faster clock by clock and should overclock to 5+ GHz quite easily. Compared to 4.7GHz on your Sandy, you would have 0% difference in pretty much every game.

So that's up to you.. Ivy Bridge might not overclock as well on motherboards that are out now. You might need one of the newer motherboards coming out.

Only you will be able to answer that. If it were mine I wouldn't unless I was earning money with the machine and needed every last ounce of performance.

K is unlocked, and S has a disabled (probably bad) HD4000 graphics area of the processor, if I remember correctly.
