Ok, I've read alot, maybe too much...

Here's the deal,
Asus M5A78L-M/USB3 (max cpu 140w)
Asus M5A78L-M LX V2 (max cpu 125w)

Not 100% on which board is best, but i'm leaning towards the USB3 based on the fact it has 6 Sata Ports pretty far away from the x16 lane (I have a HD 4870) so my GPU wont block any ports.

views on a particular board being better than the other? (remember this is a budget build)

Phenom II x4 960T (95w) 3ghz
Phenom II x4 965 (125w) 3.4ghz

Basically, what I'm after is the 965's clock speed at the 960T wattage.
The 960T is slightly more expensive than the 965, but the PC will be in use 4-5hours everyday, all year round so the 95w 960T in the long run will be cheaper, not to mention a possible x6.

Unlocking and Overclocking 960T without VRM cooling? (good idea or not?)

Onto Overclocking!
I want to Overclock the 960T upto the 3.4 range (with either of the above motherboards) primarily using the stock cooler and hopefully only using the multiplier. I'm pretty sure that both above boards do not have VRM Cooling and messing with the Voltages is NOT something I'll be doing anyway. If I cant get acceptable speed using the Multiplier and/or FSB then I'll just run stock.

The last thing I want to do is fry my motherboard by messing with the voltages

Best bet=Sabertooth+960T
I had=Sabertooth + 965 be
got me 4.4 ghz
I can do that + nowadays
Current mobo is no slouch..at all
Geeks has an m4n75td for $55

If you're looking for a cheapo motherboard you aren't gonna want to get the 965 because it has a 125W TDP and will stress the VRM's moreso than the 95W 960T.

Get the 960T and do not unlock it unless you get a quality board. The 960T is better anyways because it uses the Thuban IMC and the 965 uses the older Deneb IMC.

EDIT: The M4N75td will be fine with either chip actually and will even be fine if you unlock the 960T, it just uses an old chipset.

EDIT2: Just looked at the OP and I'd stray away from both of the board choices you have in the OP, but if you do have to choose one of them make sure you go with the 960T for less TDP. (don't unlock it either)

Why? The 960T is a better chip even if it does not unlock. They are the same in every aspect except the 960T uses the Thuban IMC which is > the Deneb IMC. The 960T also has a lower base TDP until unlocked.

No? Every chip is different. They are the same architecture. He could get a 965 that only can OC to 4GHz while he could get a 960T that OC's to 4.4GHz. Or it could be the other way around.

what is there to lose? is not like op is choosing between the 6100 and the 960.

the 960 turbo boost to 3400.
