Any particular reason?

If you're getting a new motherboard and RAM, I'd recommend going with Conroe, Intel's latest processors. It's cliche but they might be affordable with that budget.

Your budget said just "mobo and RAM" though. Don't you need a new processor then?? 400-550 may not be enough for Conroe then and Socket AM2 will be better. Nice upgradibility.

Don't go Socket 939. If you're buying new RAM, get DDR2 as both Intel and AMD are using it now. With Socket 939 you'd be buying the memory (DDR) and replacing it sooner rather than later.

MoBo: ASUS P5W DH DELUXE/WIFI-AP Socket T (LGA 775) Intel 975X $259.99
RAM: G.SKILL 2GB (2 x 1GB) DDR2 800 (PC2 6400) CAS5 $214.99

that's $474.98.

Add an E6300 for $183 if you need a CPU (and I am sure you need one )

If the CPU needs to fit in the budget, AM2 is your pick:

MoBo: Asus M2N-SLI Deluxe Socket AM2 NVIDIA nForce 570 SLI $142.99
CPU: AMD Athlon 64 X2 3800+ Windsor 2.0GHz Socket AM2 $169.00
RAM: G.SKILL 2GB (2 x 1GB) DDR2 800 (PC2 6400) $214.99

Total: $526.98

In both cases I am not too happy with the RAM; I'd like some better RAM, but that's more expensive
