Your RAM isn't very tall to begin with, so I don't see why there would be any clearance issues outside of having an mATX motherboard. Lot of people use and enjoy the CoolerMaster Hyper 212+ with AMD setups for its price.

If you're dead set on air cooling, noctua NH-415 will be your best bet if it's in your price range. However, a Corsair H60,70,80 would do you well if you wanted an entry-level, closed loop watercooling system for a similar price.

I have the Hyper 612 PWM, and I love it. Never goes beyond 74C on full load at 4ghz overclock with my i7 920. I don't see any clearance issues, since your RAM isn't that tall.

Well if you aren't concerned with how high it will let you overclock, the 212+ with a pair of quiet fans will do you well. But personally, I will have to agree jarede on the closed loop water part. The H80 works wonders for me, fairly quiet with its stock fans and great performance.

Any sort of budget? Which CPU are you using to get to that 4.0? If it's a Bulldozer, you will probably want a closed loop system- for cooling and noise levels. Those things get mighty warm when overclocked (at least the 81xx do).
