I found Intel DP45SG for $45, if I get it, I would get 4x2GB DDR3 for it, is it worth getting that for upgrade from my current mobo and ram ?

My current mobo and ram are holding me back in oc. I can only reach 3.67GHz for 24/7, max FSB that I can reach for stable OC is 333 .. would I get better performance with this DP45SG ... what do you think ??

You would get a higher memory standard which would help as well. I would personally plan on spending a little more and going with a better cpu in general (you don't need to spend a fortune though). The intel board has a lower max ram capacity but 16 and 8GB doesn't really make a difference.

The P45 North Bridge also runs crossfire as opposed to the p43.

Well of course you would need to make sure you get a motherboard that supports, but I would go with at least a generation 2 i3/5 processor. With Ivy Bridge just coming out a few days ago, I would expect a price drop (AMD has already done so with many of their processors).

If you wanted to get out "ahead" of the curve, you could hold out for the newly released i5 3450S which is $174ish and is BRAND New.

It may be a little much though, the 2nd generations are not "out of date" though and would be a much liked performance boost!
