How do your temperatures look on your cpu and chipset. That would be the first place I looked, and then I would take good look at your power supply. It may not be up to the task of overclocking.

My temperatures look fine, it will let me overclock it from 2.2ghz to 2.32ish but once i try to go beyond that it just gets hung and keeps reseting itself

A good read...
http://www.overclock.net/faqs/31782-...pu-memory.html

It will hepl out a lot.
The part that can be a pain is the different terms in the BIOS

HTT or LDT or Memory bus sometimes it's multiplyer is
5x, 4x, 3x,
where as others use 1000 for the 5x, 800 for the 4x and 600 for the 3x.
The thing is the HTT is 5x200 default and as you up the CPU bus OCing so does the 200 of the HTT increase so drop to 4x for up to 250 and drop to 3x if you get the CPU bus higher than that.
Also the RAMs default speed rating gets effected and requires various solutions.
1. Up the voltage
2. Relax the RAMs timings... more on that later
3. Use a divider or set the RAM to DDR333 or DDR266

Among other things We will help you along
