I have $300 to spend on my next parts...case is done with.. what part(s) should I order next which are new and won't have any new parts replacing them?

Hey, I would definately go wtih the pentium d 805, but switch things around a bit... The cpu is obvious and needs no explanation, the cpu fan, well nothing touches it in that price range. I went with that mobo because its extremely flexible, (ddr, ddr2, agp, pcie), and cheap, while still allowing an overclock of about 3.3ghz-3.4ghz, plus plenty of options.

After this, its completely up to you. You have approx. $130 left and could upgrade the gpu with an x850xt pe or a 7600gt. OR, you could get rid of that ram and go with a gb stick of ddr2. Sell your old stuff and probably get both.

Well... the big disadvantage of the ASRock is that it does not support Core 2 Duo. So, not really future proof.

Plus, this thread is like two weeks old.. I'd say he probably bought his stuff by now
