About to pull the trigger on this, but just wondering on what would be the better MOBO? I don't have experience with either Giabyte or BioStar.

In your situation you should definitely go for a Llano/Trinity build. You will have plenty of CPU horsepower and better Graphics power, intel's HD2000/3000 is just terrible.

Yeah, i'm glad we caught you just now. why on earth would you pick intel over AMD's APU's ? the APU's are perfect for a HTPC.

HTPC's need much more graphical grunt than they do Raw number crunching grunt.
