upgrading old HP xw6600 xeon and ram - worth it???

My sister has this old HP xw6600 - it has a xeon 5420 with 4G of DDR2 ram and a quadro fx3700

as this is a pretty old computer is it worth upgrading it with now cheap 2nd hand parts?

The motherboard can take another Xeon and there are lots of ram slots

Seeing a xeon for about 60 euro's and another 4G ram for about 45 euro's

She doesn't want to spend a lot of money will we be seeing any improvements with this...?

the quadro is starting to get flaky, start up screen is al scrambled, somtimes in bios too but when i start into windows it's all good again....suppose this would be a faulty videocard, and could replace it with a similar one or could this be upgraded to anything else - not sure if these xeon motherboard have different requirements

just running windows 7
