2008 PC system near death?

Hi guys, i think something isn't right anymore about my rig.. my old rig..

Specs : ASUS p5b-vm (LGA 775)
Q660 2.4GHz
2GB DDR2
GTS 450 ddr3 1GB

and that's it.. well, yesterday i turn my pc on and it showed the American megatrends bios screen something like that and after a couple of seconds the pc beeped (idk how many times) but it beeped several times, and then it went black and idk if it restarted or was shut down..

before that event happened, i experience many frustrating problems, like the memory controller is messed up sometimes it restarts and shows a black screen -- to fix it i need to reseat the memory and unplugging and plugging the cables again (24 pin cable , CPU 4pin cable)..

When certain problems occur, i would remove the memory and listen if the pc beeps, if it does then it tells me that the power is stable and sufficient. When not, then I would plug and unplug the cables to make the PSU be "responding" again...

I decided to replace my PSU to my new non-generic PSU , and then it powers up..So it turns out that my PSU is causing all these problems..

After the last greatest problem ever happened, I used my trick by removing the memory and listen to the beeping --- no beeps.

Unplugging and plugging the cables again --- not working

Replacing my PSU with my new one --- still not working..

I don't have any idea on how to fix this.. I think my MOBO is dead already?

I would say you are correct its the motherboard.
Worse than crack.
