A better CPU and cooling?

Hello,
I'm wondering how much if at all would a new processor increase my overall pc performance and gaming performance? And also would my current processor heatsink and fan be enough for the cooling of the processor or do i need something else too? So my specs at the moment are:
4GB DDR2 RAM
AMD Athlon 64 x2 5200b+ 2.70Ghz
Ati Radeon HD5770
Windows 7 Ultimate
The graphics card I have in my mind is AMD Athlon 64 x2 6000+ Brisbane 3.1Ghz. It has a thermal design power of 89Watt. My current only has 65Watt. So would my current heatsink and fan be able to keep it cool? I'd use Arctic silver 5. And if so how much would it affect my pc's performance?

There would be a very minimal gain in your upgrading the CPU.

It would be far more beneficial to save more money and replace the board cpu and ram altogether.

Extremely minimal gain, save money get new board+cpu+ram. It can be done for about....

I'd give overall performance and quality to the amd build, but cost effectiveness and power consumption go to intel, also it will perform stronger in less threads. However intel build listed cannot be overclocked.
