my p5e3 dying?

last week went to turn on my old reliable p5e3 qx9770,it wouldnt come on. all my fans came on,the water pump came on,my tower water cooler powered up,the green light on the motherboard was on but no beep,no screen. after resetting power 3 times ,it booted up to bios,showed my over clock failed,and sent me to the bios.
i reset the bios to default from the bios,rebooted same results. after turning it off and on 5 more times it went to windows. everything seemed to move in slow motion.
each time i shutdown,i would have to repeat the above procedure to get into windows.
i thought psu, same result.
now i can barely if at all get to windows, best that happens is i get to bios.
i pulled battery and reset cmos. same result.. does this sound like a motherboard?

Testing the memory would be my next action to take on it. Memtest86. Make a bootable disk of it from another computer.

thank you losttsol, your a genius. you nailed it.
i took out the 2 ram sticks and systematically placed them separately in the ram slots. neither stick would boot the machine without switching the system on/off. i had 4 ram sticks form my original build 7-7-7-20 1600mhz 1.90 volts corsair. i had changed them to a lower voltage ram in order to get a higher overclock. after inserting 1 stick the system booted up. WOW! thumb.gif i powered down ,install a second stick....boom booted up right away!biggrin.gif is it normal for ram to go bad like this?

you saved me 800 dollars, i was going to get a 2011 sock m/b with a i7-3930k...now i can wait for 3qr new tech
